Terms of Use

Effective date: July 2, 2026

These Terms govern your use of this website and your use of the AinuVision Edge software. Please read them carefully. Sections 10 and 11 limit our liability, and Section 14 sets out how disputes are resolved.

AinuVision Edge runs on your own hardware. You are responsible for operating it lawfully — including obtaining any consents and notices required to run cameras and to use facial recognition where you deploy it. See Sections 6 and 9.

1.Agreement to these Terms

These Terms of Use ("Terms") are a legal agreement between you (and, if you act for an organisation, that organisation) and Ainuverse LLC ("Company", "Ainuverse", "we", "us", "our"). They govern (a) your use of this website and (b) your installation and use of the AinuVision Edge software and related documentation (together, the "Software").

By using this website, or by downloading, installing, activating or using the Software, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the website or the Software. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind it.

Where you have signed a separate written order form, quotation, evaluation agreement or master agreement with us covering the Software, that signed agreement governs and, to the extent of any conflict with these Terms, prevails.

2.The software

AinuVision Edge is on-premise AI video-intelligence software. It lets you write alert rules in plain language and receive real-time alerts, search recorded footage by description, and use facial-recognition-assisted search over your own recordings. It is intended to run on hardware you provide and control, and can operate alongside your existing IP cameras and NVRs, integrate with third-party video management systems (VMS), or run standalone with its own interface.

We may update, improve, or change features of the Software and website over time. We may also stop offering a feature; where a change would materially reduce functionality of a Software version you are licensed to use, your rights under any separate written agreement continue to apply.

3.License grant

Subject to these Terms, your compliance with them, and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software, in object-code form, on the device(s) and up to the number of cameras and for the term specified in your applicable order or license key, solely for your own internal business purposes.

4.License restrictions

Except as expressly permitted by these Terms or by mandatory applicable law, you must not, and must not permit anyone else to:

  • reverse engineer, decompile, disassemble or otherwise attempt to extract or derive the source code, models, or other underlying components of the Software;
  • circumvent, disable or tamper with any licensing, activation or other technical protection measures;
  • copy, distribute, publish, sell, rent, lease, lend, host as a service, or otherwise make the Software available to any third party without our prior written consent;
  • use the Software beyond the licensed scope (for example, on more devices or cameras than licensed, or after the license expires);
  • remove, alter or obscure any proprietary notices, or use our trademarks without permission;
  • use the Software to develop a competing product, or to benchmark it for that purpose, without our written consent;
  • use the Software in any unlawful manner or in violation of these Terms.

5.Licensing, activation & fees

The Software requires a valid license and must be activated and periodically validated with our licensing service. A license may be tied to the device on which it is activated, and significant hardware changes may require re-activation. The technical data exchanged during activation is described in our Privacy Policy. No video, imagery or biometric data is sent to us as part of licensing.

Fees, term, camera counts and other commercial details are set out in your applicable order or quotation. Unless your order states otherwise, fees are non-refundable except where required by law, and licenses are limited to the scope purchased.

6.Your responsibilities & acceptable use

You are solely responsible for how you deploy and operate the Software and for the data it processes on your systems. In particular, you must:

  • operate the Software in compliance with all applicable laws, including surveillance/CCTV, privacy, data-protection and biometric laws (for example, the EU/UK GDPR and biometric-privacy statutes such as the Illinois BIPA);
  • provide any required notices and obtain any required consents before monitoring people or enrolling anyone in facial recognition;
  • ensure you have the rights and lawful basis to connect the cameras, streams and recordings you use with the Software;
  • secure your deployment, host system and network, and control who can access the application;
  • configure appropriate data-retention and deletion practices for footage, recordings and biometric data on your systems.

You must not use the Software to conduct unlawful surveillance, to harass, stalk or discriminate against individuals, to infringe others' rights, or in connection with any illegal activity. As between you and us, you are the data controller for all content the Software processes on your premises.

Sanctions & export control. You represent and warrant that you are not located in, incorporated in, or a national or resident of any country or territory subject to comprehensive economic sanctions, and that you are not listed on any applicable restricted-party or denied-persons list. You agree not to use, export, re-export, or transfer the Software in violation of any applicable sanctions or export-control laws. We may suspend or terminate your access if we reasonably believe this section has been breached.

7.Third-party components & integrations

The Software includes third-party and open-source components, which are provided subject to their own license terms; nothing in these Terms limits your rights, or grants you rights, beyond those component licenses where they apply. Where you connect the Software to third-party products or services — including IP cameras, NVRs and video management systems (VMS) from various vendors — your use of those products is governed by your agreements with, and the terms of, their respective providers. We are not responsible for third-party products, services or their availability, and integration does not imply any endorsement or partnership.

8.Intellectual property

The Software, this website, and all related software, AI models, designs, text, graphics, logos and documentation (excluding your data) are owned by Ainuverse LLC or its licensors and are protected by copyright, trademark, trade-secret and other laws. Except for the limited license in Section 3, these Terms grant you no right, title or interest in the Software or website. "AinuVision", "AinuVision Edge" and "Ainuverse" and associated logos are trademarks of Ainuverse LLC; all other trademarks are the property of their respective owners.

9.Data & privacy

Our handling of information is described in our Privacy Policy. As explained there, the Software runs on your hardware and we do not receive or have access to your camera feeds, recordings, search data or biometric data. You retain all rights in that data, and you are responsible for it and for your compliance with Section 6.

10.Disclaimers

THE WEBSITE AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF RESULTS.

AI-based video understanding and facial recognition are probabilistic: they can produce incorrect, incomplete, missed or biased results, including false positives and false negatives. The Software is an aid and must not be relied upon as the sole basis for safety-critical, security, legal, medical or financial decisions, nor as a substitute for appropriate human review. We do not warrant that the Software or website will be uninterrupted, error-free or secure, or that any particular detection will occur.

11.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AINUVERSE LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, ARISING OUT OF OR RELATING TO THE WEBSITE, THE SOFTWARE OR THESE TERMS, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE, THE SOFTWARE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

12.Indemnification

You agree to indemnify, defend and hold harmless Ainuverse LLC and its officers, directors, employees, licensors and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with: (a) your use or operation of the Software or website; (b) the data you process with the Software, including your operation of cameras and use of facial recognition; (c) your breach of these Terms; or (d) your violation of any law or the rights of any third party.

13.Term & termination

These Terms apply while you use the website or the Software and for as long as your license is in effect. We may suspend or terminate your license and access immediately if you breach these Terms or your applicable order, or if we are required to do so by law. You may stop using the website and the Software at any time.

On termination or expiry of your license, your right to use the Software ends and you must stop using it and remove it, together with any associated components, from your systems. Sections 4, 6, 8, 9, 10, 11, 12, 14 and 16 survive termination.

14.Governing law & disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws principles.

Any dispute, controversy or claim arising out of or relating to these Terms, the website or the Software shall first be addressed through good-faith negotiation. If it is not resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules then in force, which rules are deemed incorporated by reference. The seat of arbitration shall be Singapore, the tribunal shall consist of one (1) arbitrator, and the language shall be English. Either party may seek injunctive or other equitable relief in the courts of Singapore for intellectual-property infringement or unauthorised access to the Software. You agree that any claim will be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

15.Changes to these Terms

We may revise these Terms from time to time. The "Effective date" above indicates when they were last updated. Material changes will be posted on this page and, where appropriate, otherwise notified. Your continued use of the website or the Software after revised Terms take effect constitutes acceptance. If you do not agree to the revised Terms, you must stop using the website and the Software.

16.Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any applicable signed order or agreement, constitute the entire agreement between you and Ainuverse regarding their subject matter and supersede prior understandings. Severability. If any provision is found unenforceable, the remaining provisions remain in effect. Waiver. Our failure to enforce any provision is not a waiver of it. Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
